These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you", "your", or "the Account Holder") and Olympus Pay Proprietary Limited ("Olympus Pay", "we", "us", or "our"), Registration No. BW00009700756, governing your use of the Olympus Pay digital banking platform, mobile application, and all associated financial services (collectively, the "Services"). By creating an Olympus Pay account, accessing our app, or using any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our Services. These Terms should be read alongside our Privacy Policy, Acceptable Use Policy, and any product-specific terms that apply to specific services you use.

Olympus Pay is a digital banking platform operated by Olympus Pay Proprietary Limited, a company incorporated under the laws of Botswana (Registration No. BW00009700756). Olympus Pay operates as a Digital Bank under the Bank of Botswana Regulatory Sandbox. This means we are authorised to provide digital financial services under sandbox conditions approved and supervised by the Bank of Botswana. As a sandbox participant, we are subject to the oversight of the Bank of Botswana and are required to comply with applicable Botswana financial, AML/CFT, and data protection legislation. Olympus Pay is not yet a fully licensed commercial bank. Our sandbox status allows us to operate within defined parameters while working toward full regulatory licensing. Funds held in your Olympus Pay account are safeguarded as required by the Bank of Botswana Regulatory Sandbox conditions.

To open an Olympus Pay account, you must complete our identity verification process, which includes:
Personal Information
Providing your full legal name, date of birth, residential address, national identity number or passport number, and contact details exactly as they appear on your official identity documents.
Business Information (for Business Accounts)
Providing your company's registered name, registration number, physical address, business type, director information, shareholder structure, and source of business funds. You may be required to submit certificates of incorporation, operating licences, and other corporate documents.
Identity Verification
Submitting a government-issued photo ID (national ID card or passport) and completing a biometric selfie verification. This process is conducted by our approved identity verification partner and is required by law under the Financial Intelligence Act, 2022 of Botswana.
Ongoing Verification
We may ask you to re-verify your identity, update your information, or provide additional documentation at any time to meet our continuing KYC obligations. Failure to comply within the requested timeframe may result in account restrictions or closure.
Accuracy of Information
You warrant that all information you provide during registration and throughout your use of our Services is true, accurate, current, and complete. You must promptly update any information that changes. Providing false or misleading information is a violation of these Terms and may constitute a criminal offence under Botswana law.

When you instruct us to make a payment or transfer:
Authorisation
You authorise us to debit your account for the full amount of the transaction plus any applicable fees. By confirming a transaction, you confirm you have the right to use the funds in your account for that purpose and that the transaction complies with these Terms and applicable law.
Processing
We will process authorised transactions as quickly as possible. Domestic transactions are typically processed within the same business day. International transfers may take 1–5 business days depending on the destination country, receiving bank, and any intermediary banks involved. We are not responsible for delays caused by third-party banks or payment networks.
Transaction Limits
Transaction limits apply to your account based on your account type, KYC verification level, and transaction history. We may impose additional limits at our discretion for security or regulatory compliance reasons. Current limits are displayed in the app under Account Settings.
Irrevocability
Once a payment instruction is confirmed and in process, it cannot be cancelled or reversed unless we are able to intercept it before settlement. We will make reasonable efforts to recall an erroneous payment if requested immediately, but cannot guarantee recovery of funds already received by a third party.
Incorrect Payments
You are responsible for ensuring that payment details (account numbers, references, and amounts) are correct before authorising any transaction. We are not liable for losses arising from you entering incorrect payment details. If you make a payment to the wrong person, contact us immediately at support@olympuspay.co and we will attempt to assist with recovery.
Regulatory Holds
We may place a hold on funds or delay a transaction where we have reasonable grounds to suspect fraud, money laundering, sanctions violations, or other financial crime. We will notify you where permitted by law.

Our current fee schedule is available in the Fees & Charges section of the app and at olympuspay.co/fees. By using our Services, you agree to pay all applicable fees. Key fees at a glance: SME/Business accounts carry a BWP 99 monthly maintenance fee. Domestic EFT transfers to Botswana bank accounts cost BWP 5 (standard) or BWP 12 (instant). Within-Olympus transfers are always free. Physical card issuance is BWP 120. Full details are in the Fees & Charges policy. During the Bank of Botswana Regulatory Sandbox period, a maximum single transaction limit of BWP 5,000 and maximum account balance of BWP 20,000 apply by regulatory directive. These limits will be revised upon full licensing. We will always display applicable fees before you confirm a transaction. We reserve the right to change our fees by providing you with at least 30 days' written notice via the app and email before new fees take effect. Continued use of our Services after the notice period constitutes your acceptance of the new fees.

By You
You may close your Olympus Pay account at any time by contacting us at support@olympuspay.co. Before closing, all outstanding transactions must be settled and any remaining balance must be transferred out. Account closure does not affect any accrued rights or obligations.
By Us — With Notice
We may close or restrict your account with 60 days' written notice for any legitimate business reason, including if we decide to discontinue the service, change our product offering, or if you no longer meet our eligibility criteria.
By Us — Immediately
We may suspend or close your account immediately and without prior notice if: we believe your account has been used for fraud, money laundering, or other illegal activity; you have breached these Terms in a material way; we are required to do so by a regulator, court order, or law enforcement agency; your account poses an unacceptable risk to us, other customers, or the financial system; or your account is inactive for a period exceeding 24 consecutive months.
Effect of Closure
Upon account closure, you will receive your remaining balance via bank transfer to a verified external account within 10 business days, subject to any legal holds or outstanding obligations. We will retain your data as required by applicable law.

All content, software, trademarks, logos, design elements, and technology associated with the Olympus Pay platform are the property of Olympus Pay Proprietary Limited or our licensors. These are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use our app and services for your personal or business banking purposes. You may not copy, reproduce, modify, distribute, or create derivative works from any part of our platform without our express written consent.

To the fullest extent permitted by Botswana law:

You agree to indemnify, defend, and hold harmless Olympus Pay, its directors, officers, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from: your use of our Services in violation of these Terms; your breach of any applicable law or regulation; any transaction you initiate or authorise through your account; your violation of any third party's rights; or any false, inaccurate, or misleading information you provide to us.

Governing Law
These Terms and any dispute arising from or related to your use of Olympus Pay Services shall be governed by and construed in accordance with the laws of the Republic of Botswana.
Complaints
If you have a complaint about our services, please contact us first at complaints@olympuspay.co. We aim to resolve all complaints within 15 business days. If your complaint relates to a regulatory matter, you may also refer it to the Bank of Botswana.
Regulatory Escalation
As a participant in the Bank of Botswana Regulatory Sandbox, complaints that cannot be resolved directly with us may be escalated to the Bank of Botswana. Contact details for the Bank of Botswana are available at www.bankofbotswana.bw.
Jurisdiction
You agree that the courts of Botswana shall have jurisdiction to settle any dispute arising from these Terms. Nothing in this clause limits our right to seek injunctive or other equitable relief in any court of competent jurisdiction.

We may update these Terms from time to time to reflect changes in our services, regulatory requirements, or business practices. We will notify you of material changes at least 30 days before they take effect via in-app notification and email. If you do not agree to the updated Terms, you have the right to close your account before the effective date of the changes without penalty. Your continued use of our Services after the effective date constitutes acceptance of the updated Terms. The current version of these Terms is always available in the app and at olympuspay.co/terms.
